These Terms and Conditions (“Terms”) govern access to and use of the SignalPod AI and the machine-learning signal generation technology and related tools (the “Service”). These Terms apply to business users only, including signal providers, trading educators, community operators, Telegram channel administrators, and similar entities (“Partner”, “you”, or “your”). By using the Service, you agree to be bound by these Terms.

1. Nature of the Service
SignalPod AI (“SignalPod”, “we”, “us”, “our”) provides a proprietary machine-learning engine designed to assist signal providers in generating trade signals for distribution to their own communities. SignalPod is a technology provider only, is not a broker, does not execute trades, does not hold or manage client funds, does not provide investment advice, does not manage portfolios, does not provide financial services, does not onboard retail traders. The Service is provided strictly as a technology tool for signal providers.

2. B2B Relationship
SignalPod’s contractual relationship is solely with the Partner (signal provider), not with the Partner’s community members, followers, subscribers, or traders (“End Users”). As a SignalPod Partner, you are solely responsible for all content distributed through your channel, any representations made to your End Users, compliance with laws in your jurisdiction, any regulatory obligations applicable to you.
 
SignalPod bears no responsibility toward your End Users.

3. Fees & Revenue
SignalPod does not charge any subscription fees, monthly fees, performance fees and any upfront payments. SignalPod may receive compensation in the form of trading rebates from partner brokers when trading activity is generated through broker relationships associated with SignalPod. SignalPod’s compensation structure does not influence signal outputs generated by its machine-learning engine.

4. No Financial Advice

The Service provides algorithmic and machine-learning-generated trade ideas based on historical and statistical models.

SignalPod does not recommend specific investments, provide personalised advice, assess suitability for any trader, or guarantee profitability. All outputs are informational in nature and intended for integration into a Partner’s own signal service.

5. Regulatory Status
SignalPod is a technology provider and does not carry out regulated activities such as arranging deals in investments, managing investments, providing investment advice, safeguarding or administering client assets. Nothing on the Website or within the Service constitutes a financial promotion directed at retail investors.

If a Partner operates in a regulated jurisdiction, the Partner is solely responsible for ensuring that their activities comply with applicable financial promotion and regulatory requirements.

6. Partner Responsibilities

You agree that you operate lawfully in your jurisdiction, maintain compliance with any required licensing or registration, provide appropriate risk disclosures to your End Users, do not misrepresent SignalPod as a broker or regulated financial institution, do not imply guaranteed profits. SignalPod reserves the right to terminate partnerships where misuse or regulatory risk arises.

7. Intellectual Property

All machine-learning models, algorithms, software, trade card formats, branding, and related technology remain the exclusive property of SignalPod. Partners may not reverse engineer the Service, replicate the technology, resell the engine as their own proprietary system, create derivative systems based on SignalPod IP.

8. Service Availability
The Service is provided “as is” and “as available.” SignalPod does not guarantee continuous uptime, error-free outputs, or signal accuracy. We may modify, suspend, or discontinue the Service at any time.

9. Limitation of Liability

To the fullest extent permitted by law, SignalPod shall not be liable for trading losses incurred by Partners or End Users, loss of profits, loss of reputation, indirect or consequential damages, broker-related issues, regulatory penalties incurred by Partners. Your use of the Service is entirely at your own risk.

10. Indemnification

You agree to indemnify and hold harmless SignalPod from any claims, damages, liabilities, costs, or legal actions arising from, your signal distribution, your End Users’ trading activity, regulatory investigations involving your business, your breach of these Terms.

11. Global Use

The Service is offered globally. It is your responsibility to ensure use of the Service is legal in your jurisdiction.

SignalPod makes no representation that the Service is compliant in every country.

12. Modifications

SignalPod may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.
